Договор оферты
о порядке предоставления "Услуги по Шифрованию файлов ПО БАЗИС".
ООО «Базис-Центр» именуемое в дальнейшем «Владелец», публикует настоящий Договор — Публичную оферту, далее Договор, о порядке пользования "Услугой по Шифрованию файлов ПО БАЗИС", далее Услуга.
- Общие положения
1.1. В соответствии со статьей 437 Гражданского Кодекса Российской Федерации (ГК РФ) данный документ является публичной офертой, и в случае принятия изложенных ниже условий физическое лицо/представитель юридического лица, производящее акцепт этой оферты, соблюдает установленные требования пользования Услугой в соответствии с условиями настоящего Договора. В случае нарушения наступает ответственность по общим правилам главы 25 ГК.
- Термины Договора
- Оферта — предложение Владельца, адресованное любому юридическому и физическому лицу, заключить с ним Договор о порядке пользования Услугой.
- Пользователь — физическое лицо/юридическое лицо, заключившее с Владельцем Договор на условиях, содержащихся в настоящей Оферте;
- Акцепт — полное и безоговорочное принятие Пользователем условий Оферты, совершенное в порядке, предусмотренном разделом 5 настоящего Договора.
- Письменное обращение - письменное заявление от Пользователя Владельцу об использовании Услуги.
- Программное обеспечение Система БАЗИС (далее по тексту «ПО-БАЗИС») - результат интеллектуальной деятельности - программы для ЭВМ, включая его компоненты, модули и базы данных т.п.
- Ключ аппаратной защиты (далее Ключ) – средство защиты ПО-БАЗИС от несанкционированного использования. Для использования функции шифрования поддерживаются только электронные ключи типа CodeMeter.
- Доверительный список ключей аппаратной защиты (далее доверительный список ключей) – список номеров ключей, предоставляемый Пользователем Владельцу для включения алгоритма шифрования.
- Функция шифрования файлов – функция, которая предназначена для ограничения доступа к проектам, выполненным в системе БАЗИС, и представляет собой алгоритм шифрования с уникальным кодом, который записывается в ключ (ключи) из доверительного списка, представленного пользователем.
- Доступные для шифрования типы файлов: *.b3d; *.fr3d; *.f3d; *.bsl; файлы *.b3d, *.fr3d, *.f3d включенные в библиотеку *.bln; файлы моделей внутри каталога для модуля Салон (*.bmz, *.fdb);
- Прошивка ключа аппаратной защиты – изменение при помощи специального программного обеспечения, предоставляемого Владельцем внутренней микропрограммы ключа аппаратной защиты.
- Предмет договора
3.1. Владелец предоставляет Пользователю возможность использовать Услугу. - Правила предоставления Услуги
4.1 Владелец вправе
4.1.1 Принять Письменное обращение от Пользователя.
4.1.2 Выполнить действия, описанные в Письменном обращении, в случае технической возможности после оплаты Услуги Пользователем.
4.1.3 Отказаться от выполнения действий, описанных в Письменном обращении, без объяснения причин.
4.2 Пользователь вправе
4.2.1 Передать Владельцу Письменное обращение.
4.2.2 Запросить у Владельца в Письменном обращении изменение пароля, который позволяет записывать незашифрованные файлы ПО-БАЗИС.
4.3 Общие положения Правил предоставления Услуги
4.3.1 Услуга для ключей аппаратной защиты предоставляется исключительно в случае технической возможности ее осуществления и действующего Технического сопровождения на лицензии.
4.3.2 Услуга активирует Функцию шифрования файлов в ПО-БАЗИС.
4.3.3 Для ключей аппаратной защиты включение Функции шифрования файлов осуществляется при помощи специального интернет-сервиса, предоставляемого Владельцем.
4.3.4 Владелец гарантирует уникальность кода алгоритма Функции шифрования файлов.
4.3.5 По письменному обращению Владелец может передать Пользователю индивидуальный пароль (далее пароль), который позволяет записывать незашифрованные файлы ПО-БАЗИС.
4.3.6 Пользователь самостоятельно несет ответственность за конфиденциальность пароля, позволяющего отключить Функцию шифрования файлов.
4.3.7 Пользователь в Письменном обращении обязуется передать Исполнителю доверительный список Ключей аппаратной защиты для включения на них Функции шифрования файлов. Изменение списка Ключей аппаратной защиты возможно только по Письменному обращению от Пользователя.
4.3.8 Отключение Функции шифрования файлов на Ключах аппаратной защиты может быть реализовано только по Письменному обращению Пользователя.
4.3.9 Пользователь безоговорочно согласен с тем, что для повторного включения Функции шифрования файлов на Ключах аппаратной защиты ему необходимо будет вновь оплатить стоимость Услуги.
4.3.10 При запуске ПО-БАЗИС от Ключей аппаратной защиты с включенной Функцией шифрования файлов все файлы, создаваемые в ПО-БАЗИС, являются зашифрованными и не могут быть прочитаны никакой другой копией ПО-БАЗИС, запущенной от Ключей аппаратной защиты, не входящих в доверительный список ключей, или запущенной с помощью сервиса БАЗИС-Онлайн от аккаунта, у которого код алгоритма Функции шифрования файлов привязан к Ключу.
4.3.11 Пользователь согласен с тем, что при необходимости передачи файлов в службу технической поддержки рекомендуется отключать Функцией шифрования файлов. В противном случае, ответ на вопрос будет сформирован в течение значительно более длительного времени.
4.4 Особенности предоставления Услуги в сервисе БАЗИС-Онлайн
4.4.1 Функция шифрования файлов в ПО-БАЗИС автоматически активируется после нажатия на кнопку "Включить" или на кнопку "Активировать приглашение" в разделе "Шифрование" .
4.4.2 Уникальный код алгоритма Функции шифрования файлов автоматически создается при включении Функции шифрования файлов в личном кабинете сервиса БАЗИС-Онлайн в разделе Шифрование. Код алгоритма Функции шифрования может быть изменен в любой момент Пользователем в Личном кабинете сервиса БАЗИС-Онлайн.
4.4.3 Пользователь имеет право в Личном кабинете сервиса БАЗИС-Онлайн создать Приглашение. Активация Приглашения в личном кабинете сервиса БАЗИС-Онлайн в разделе Шифрование у другого аккаунта сервиса БАЗИС-Онлайн включит Функции шифрования файлов с таким же кодом алгоритма Функции шифрования файлов.
4.4.4 Пользователь имеет право в любой момент удалить из списка Доверенных аккаунтов пользователя, подключенного по Приглашению. В этом случае у Пользователя с деактивированным Приглашением автоматически отключится Функция шифрования файлов.
4.4.5 Пользователь имеет право в Письменном обращении к Владельцу указать аккаунт сервиса БАЗИС-Онлайн, в котором необходимо включить Функцию шифрования файлов с кодом алгоритма Функции шифрования файлов, который сформирован при пользовании Услугой на Ключах. Владелец в случае технической возможности включает Услугу у указанного аккаунта в сервисе БАЗИС-Онлайн. Пользователь в Личном кабинете сервиса БАЗИС-Онлайн в разделе Шифрование будет проинформирован о подключении Услуги и привязки кода алгоритма Функции шифрования файлов к Ключу. В этом случае изменение кода алгоритма Функции шифрования файлов недоступно в Личном кабинете сервиса БАЗИС-Онлайн у аккаунта, указанном в Письменном обращении.
4.4.6 Функция шифрования файлов отключается после нажатия на кнопку "Выключить" в разделе "Шифрование" в Личном кабинете сервиса БАЗИС-Онлайн.
4.4.7 Пользователь безоговорочно согласен с тем, что для повторного включения Функции шифрования файлов ему необходимо будет вновь оплатить стоимость Услуги.
4.4.8 При запуске ПО-БАЗИС с помощью сервиса БАЗИС-Онлайн с включенной Функцией шифрования файлов все файлы, создаваемые в ПО-БАЗИС, являются зашифрованными и не могут быть прочитаны никакой другой копией ПО-БАЗИС, кроме как копией ПО-БАЗИС, запущенной от аккаунта, у которого активировано Приглашение. - Акцепт оферты
5.1. Настоящая оферта считается акцептованной Пользователем в случае соблюдения любого одного или нескольких из следующих условий:
5.1.1. Письменное обращение Пользователя к Владельцу по использованию Услугой означает безоговорочное согласие Пользователя с условиями настоящего Договора.
5.1.2. Факт использования Пользователем Услугой на основании настоящего Договора означает безоговорочное согласие Пользователя с условиями настоящего Договора.
5.1.3. Перечисление Пользователем, либо уполномоченными им третьими лицами денежных средств по оплате "Услуги по Шифрованию файлов ПО БАЗИС" означает безоговорочное согласие Пользователя с условиями настоящего Договора.
5.1.4. Нажатие на кнопку "Включить" в разделе "Шифрование" в Личном кабинете сервиса БАЗИС-Онлайн означает безоговорочное согласие Пользователя с условиями настоящего Договора.
5.1.5. Нажатие на кнопку "Активировать приглашение" в разделе "Шифрование" в Личном кабинете сервиса БАЗИС-Онлайн означает безоговорочное согласие Пользователя с условиями настоящего Договора. - Политика конфиденциальности
6.1. При создании Письменного обращения, а равно при заполнении любых форм, содержащих необходимую информацию, Пользователь обязуется предоставить достоверную информацию (далее Данные).
6.2. Владелец вправе использовать предоставленные Пользователем Данные для целей информирования Пользователя о порядке исполнения Услуги, о возможностях Пользователя в отношении получения Услуги.
6.3. Данные Пользователя не предоставляются третьим лицам для целей рекламы их товаров и услуг.
6.4. Принимая и соглашаясь с данным Договором, Пользователь подтверждает свою дееспособность и дает согласие на обработку своих персональных данных, в том числе и в целях продвижения Владельцем товаров и услуг.
6.5. Если Пользователь не желает, чтобы его персональные Данные обрабатывались, то он должен отказаться от использования Услугой.
6.6. Не считается нарушением обязательств разглашение Данных в соответствии с обоснованными и применимыми требованиями закона. - Дополнительные условия
7.1. Владелец по своему усмотрению имеет право создавать, изменять, отменять Правила предоставления Услуги.
7.2. Настоящий Договор вступает в силу с момента Акцепта оферты и распространяется на неопределённый срок. - Заключительные положения
8.1. Настоящий Договор — Публичная оферта является официальным документом Владельца. Все приложения и дополнения к настоящему Договору являются его неотъемлемой частью.
8.2. Текст и условия настоящего Договора могут быть в любой момент изменены Владельцем в одностороннем порядке без особого предварительного и последующего уведомления Пользователей. Изменение условий производится в порядке опубликования новой редакции Оферты, которая вступает в силу после ознакомления с ней Пользователя и в порядке, предусмотренном в этой новой редакции.
8.3. В случае возникновения каких-либо разногласий в связи с настоящим Договором Владелец и Пользователь примут все меры к их разрешению путем переговоров в претензионном порядке. Срок ответа на претензию составляет 10 (десять) рабочих дней с даты ее получения ответчиком.
8.4. В случае если урегулировать указанные разногласия, путем переговоров, невозможно, данные разногласия подлежат урегулированию в соответствии с действующим законодательством Российской Федерации в Арбитражном суде по местонахождению Владельца.

Agreement (the public offer)
for providing "BAZIS software files encryption" service. «Bazis-Center» LLC hereinafter referred to as «Rightholder», publishes this Agreement that is a Public offer, hereinafter referred to as the Agreement, on the use of "BAZIS software files encryption" service, hereinafter referred to as «Service».
- General provisions
1.1. According to article 437 of the Civil Code of the Russian Federation this agreement is a public offer and if the conditions set below are accepted, the individual/ representative of the legal entity accepting this offer complies with the established requirements for using the Service in accordance with the terms of this Agreement. In case of violation, liability is incurred under the General rules of Chapter 25 of the Civil Code of the Russian Federation. On the basis of the above, please read carefully the text of this Agreement of the public offer, and if you do not agree with any point of this offer, you are asked to refuse to register and use the Service. - Terms and definitions of the Agreement
- Offer — an offer of the Rightholder, addressed to any legal entity or individual to conclude an Agreement for the Service use.
- User — an individual/legal entity that has concluded an Agreement with the Rightholder on the terms and conditions contained in this Offer;
- Acceptance — full and unconditional acceptance by the User of the terms of the Offer, made in accordance with the procedure provided in section 5 of this Agreement.
- Written request — a written statement from the User to the Rightholder about the Service use.
- BAZIS system software (hereinafter referred to as «BAZIS software») – result of intellectual activity – computer programs, including its components, modules and databases, etc.
- Hardware protection key (hereinafter referred to as the Key) – BAZIS software protection tool against unauthorized use. Only CodeMeter electronic keys are supported for encryption function use.
- Trust list of hardware protection keys (hereinafter referred to as the trust list of keys) – a list of key numbers provided by the User to the Rightholder for encryption algorithm activation.
- Files encryption function – a function that is designed to restrict access to projects performed in the BAZIS system, and is an encryption algorithm with a unique code that is written to the key (keys) from the trust list provided by the user.
- File types available for encryption: *.b3d; *.fr3d; *.f3d; *.bsl; files *.b3d, *.fr3d, *.f3d included to the library *.bln; model files inside the catalogue for Salon module (*.bmz, *.fdb);
- Firmware of hardware protection key – modification using special software provided by the Rightholder of the internal firmware of the hardware protection key.
- The subject of the agreement
3.1. The Rightholder gives the User the opportunity to use the Service. - Rules of Service providing
4.1 The Rightholder has the right:
4.1.1 Accept a Written request from the User.
4.1.2 Perform the actions described in the Written request, if it is technically possible after the User pays for the Service.
4.1.3 Refuse to perform the actions described in the Written request without any explanation.
4.2 The User has the right:
4.2.1 Send a Written request to the Rightholder.
4.2.2 Request the Rightholder in a Written request to change the password that allows to save unencrypted files of the BAZIS software.
4.3 General provisions of Service providing
4.3.1 The service for hardware protection keys is provided only if it is technically possible to implement it and there is a valid license Technical support.
4.3.2 The Service activates the BAZIS software file encryption Function.
4.3.3 For hardware protection keys, the file encryption Function is enabled using a special Internet service provided by the Rightholder.
4.3.4 The Rightholder guarantees the uniqueness of the File encryption algorithm code.
4.3.5 The Rightholder can give the User upon a written request an individual password (hereinafter referred to as the password), which allows to record unencrypted files of the BAZIS software.
4.3.6 The User is solely responsible for the confidentiality of the password that allows to disable the Function of file encryption.
4.3.7 The User undertakes in a Written request to provide the Contractor with a trust list of hardware protection Keys to enable the file encryption Function on them. The User can change the list of hardware protection Keys only upon Written request.
4.3.8 The User can disable the file encryption Function on hardware protection Keys only upon the Written request.
4.3.9 The user unconditionally agrees that in order to re-enable the file encryption Function on the hardware protection Keys, they need to pay the cost of the Service again.
4.3.10 When running BAZIS software from hardware protection Keys with the file encryption function enabled, all files created in the BAZIS software are encrypted and cannot be read by any other copy of the BAZIS software that is launched from hardware protection Keys that are not included in the trust list of keys, or launched using the BAZIS-Online service from an account that has the file encryption algorithm code linked to the Key.
4.3.11 The user agrees that if it is necessary to transfer files to technical support service, it is recommended to disable the file encryption Function. Otherwise, the answer to the question will be generated for a much longer time.
4.4 Features of BAZIS-Online service providing
4.4.1 The file encryption function in BAZIS software is automatically activated after clicking the "Enable" button or the "Activate invitation" button in the "Encryption" section.
4.4.2 The unique code of file encryption Function algorithm is automatically created when the file encryption Function is enabled in the personal account of the BAZIS-Online service in the Encryption section. The code of the encryption Function algorithm can be changed at any time by the User in the personal account of the BAZIS-Online service.
4.4.3 The User has the right to create an Invitation in the Personal account of the BAZIS -Online service. The Invitation activation in the Personal account of the BAZIS-Online service in Encryption section of another account of BAZIS-Online service will enable file encryption Functions with the same algorithm code of file encryption Function.
4.4.4 The user has the right to remove the user connected by Invitation from the list of Trust accounts at any time. In this case, the User with the deactivated Invitation will automatically disable the file encryption Function.
4.4.5 The User has the right to specify the account of the BAZIS-Online service in Written appeal to the Rightholder, in which it is necessary to enable file encryption Function with algorithm code of file encryption Function that is generated when you use the Service on the Keys. The Rightholder enables the Service from the specified account in the BAZIS-Online service if technically possible. The User in the Personal account of the BAZIS-Online service in the Encryption section will be informed about the Service activation and the linking of the file encryption algorithm code to the Key. In this case, the change of file encryption Function algorithm code is not available in the Personal account of the BAZIS-Online service for the account specified in the Written request.
4.4.6 The file encryption Function is disabled after clicking the "Disable" button in the "Encryption" section in the Personal account of the BAZIS-Online service.
4.4.7 The User unconditionally agrees that in order to re-enable the file encryption Function, they will need to pay the Service again.
4.4.8 When you launch the BAZIS software using BAZIS-Online service with the file encryption Function enabled, all files created in the BAZIS software are encrypted and cannot be read by any other copy of the BAZIS software, except for the copy of the BAZIS software that was launched from the account that has an activated Invitation. - Offer acceptance
5.1. This offer is considered accepted by the User if any one or more of the following conditions are met:
5.1.1. The User written request to the Rightholder to use the Service means the User unconditional consent to the terms of this Agreement.
5.1.2. The fact that the User uses the Service on the basis of this Agreement means that the User unconditionally agrees to the terms of this Agreement.
5.1.3. Transfer of funds by the User or the third parties authorized by the User to pay for "BAZIS software files encryption" service means the User unconditional consent to the terms of this Agreement.
5.1.4. Clicking on the "Enable" button in the "Encryption" section in the Personal Account of the BAZIS-Online service means that the User unconditionally agrees to the terms of this Agreement.
5.1.5. Clicking on the "Activate invitation" button in the "Encryption" section in the Personal Account of the BAZIS-Online service means that the User unconditionally agrees to the terms of this Agreement. - Privacy policy
6.1. When creating a Written request, as well as when filling in any forms containing the necessary information, the User undertakes to provide reliable information (hereinafter referred to as Data).
6.2. The Rightholder may use the Data provided by the User for the purpose of informing the User about the Service and the possibilities of the User with respect to Service receiving.
6.3. User data is not provided to third parties for the purpose of advertising their products and services.
6.4. By accepting and agreeing with this Agreement, the User confirms the legal capacity and consents to the processing of his personal data, including for the purpose of goods and services promotion by the Rightholder.
6.5. If the User does not want their personal Data to be processed, they must refuse to use the Service.
6.6. Disclosure of Data in accordance with reasonable and applicable legal requirements is not considered as a violation of obligations. - Additional terms and conditions
7.1. The Rightholder has the right to create, change, or cancel the Rules of Service providing at his sole discretion.
7.2. This Agreement shall come in force upon the offer Acceptance and is valid for an indefinite period. - Final provisions
8.1. This Agreement — Public offer is an official document of the Rightholder. All appendixes and additions to this Agreement are an integral part of it.
8.2. The text and terms of this Agreement may be changed at any time by the Rightholder unilaterally without special prior and subsequent notification of the Users. Changes to the terms are made in the order of new version of the Offer publication, which comes into force after the User has read it and according to the order provided in the new version.
8.3. In case of any disputes arising in connection with this Agreement, the Rightholder and the User will take all measures to resolve them through negotiations in the claim procedure. The response period to the claim is 10 (ten) business days from the date of its receipt by the respondent.
8.4. If it is impossible to settle the claims through negotiations, these controversies are subject to settlement in accordance with the current legislation of the Russian Federation in arbitration at the location of the Rightholder.
